Broker-dealers (BDs) and investment advisers (IAs) regularly hire compliance consultants to obtain advice about\u00a0regulatory requirements. A recent Securities and Exchange\u00a0Commission (SEC or Commission) enforcement proceeding against an investment adviser (IA) calls into question whether firms\u00a0may rely on compliance consultants as a defense to violating the law. \u00a0However, if firms take proper steps, BDs and IAs may still be able to\u00a0retain consultants and defend themselves based on the advice they\u00a0receive. Otherwise, \u201ccaveat emptor\u201d (as the saying goes) or \u201ccaveat\u00a0compliance\u201d (as the SEC seems to be saying).<\/p>\n
